Governance

The governance of Human-Centered Health shall be entrusted to a Board of Directors, which shall consist of a minimum of 3 unrelated directors and a maximum of 11 directors. Each director shall serve a term of three years in office.

 

Any member in good standing shall have the right to nominate directors, and elections shall be held annually to fill one-third of the director seats.

 

The Board of Directors shall establish and enforce policies on governance, conflicts of interest, whistleblowing, document retention, and other matters as customary for organizations of this type.

Initial Directors

  • Victor Gatto: Elected to a three-year term (2024-2026)

  • Miriam Paramore: Elected to a three-year term (2024-2026)

  • Bart Liddle: Elected to a three-year term (2024-2026)

 

HCH plans to elect 4 new Directors in the 4th quarter of 2024.

We also plan to elect 4 new Directors in the 4th quarter of 2025.

Board Meetings

​The Board of Directors shall meet on a quarterly basis. Additional meetings may be called by the Chair or upon the request of a majority of the directors. The minutes of these meetings shall be made available for review by all members.

Process

Elections

Elections for the Board of Directors shall be held annually to fill one-third of the director seats. Any member in good standing shall have the right to nominate directors.

 

Vacancies

In the event of a vacancy on the Board of Directors, the remaining directors shall appoint a qualified individual to fill the vacant position until the next scheduled election.
